Terms of Service

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services, website, communications, proposals, and related materials provided by NorthStar Event Marketing (“NorthStar Event Marketing,” “we,” “us,” or “our”), a business operating in Canada from 245 King Street West, Toronto, ON M5V 1J5, Canada.
By requesting, booking, purchasing, or otherwise using any services from NorthStar Event Marketing, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms apply to all clients, prospects, attendees, vendors, contractors, and other users who interact with our services, unless a separate written agreement signed by NorthStar Event Marketing states otherwise. In the event of a conflict between these Terms and a signed written agreement, the signed written agreement will prevail to the extent of the conflict.
2. Scope of Services
NorthStar Event Marketing provides event-marketing services, which may include, without limitation:
- Event strategy and campaign planning;
- Brand activations and experiential marketing;
- Product launch coordination;
- Trade show booth design and management;
- Corporate event production;
- Hybrid and virtual event promotion; and
- On-site staffing and guest engagement.
The exact scope, deliverables, timelines, staffing, venue coordination, media placements, creative assets, and budget parameters for each engagement will be described in a proposal, statement of work, invoice, email confirmation, or other written communication approved by the parties.
We may engage third-party vendors, venues, contractors, technology providers, printers, caterers, talent, or production partners as necessary to deliver services. Unless expressly stated in writing, NorthStar Event Marketing is not responsible for the acts, omissions, delays, pricing changes, or failures of third parties.
3. User Obligations and Responsibilities
By using our services, you agree to:
- Provide accurate, complete, and current information at all times;
- Cooperate promptly and in good faith with requests for approvals, materials, access, and decisions;
- Obtain and maintain all rights, licenses, permissions, and consents necessary for materials you provide to us;
- Ensure that all content, branding, claims, and instructions you supply are lawful, non-infringing, and not misleading;
- Comply with all applicable laws, regulations, venue rules, safety requirements, and permit obligations;
- Pay all fees, taxes, charges, and reimbursable expenses when due;
- Not use our services for unlawful, fraudulent, defamatory, harassing, discriminatory, or harmful purposes; and
- Promptly notify us of any issues that may affect event performance, safety, timing, or compliance.
You are responsible for reviewing all final materials, schedules, creative assets, guest lists, and event details before approval or publication. Approval constitutes acceptance of the content, layout, timing, and specifications as approved.
If you provide attendee data, lead lists, or other personal information, you represent that you have the legal authority to share such data with us and that doing so complies with applicable privacy laws.
4. Payment Terms and Conditions
Fees for services will be set out in the applicable proposal, invoice, or written agreement. Unless otherwise stated in writing:
- Invoices are payable in Canadian dollars (CAD);
- A deposit or retainer may be required before work begins;
- All amounts are due by the payment date stated on the invoice;
- Late payments may result in suspension of services, delayed deliverables, or cancellation of bookings;
- Overdue amounts may accrue interest at the maximum rate permitted by applicable law, or if no rate is specified, at 1.5% per month (18% per annum), whichever is lower and legally enforceable;
- You are responsible for all applicable taxes, including GST/HST, unless expressly included in writing;
- Any third-party costs, travel, accommodation, venue charges, printing, shipping, equipment rental, permits, staffing, or production expenses are payable by you if approved or incurred on your behalf; and
- Chargebacks or payment disputes do not relieve you of your payment obligations for services properly rendered.
We may require advance approval for expenses above a stated threshold. If a project scope changes due to your request, revised pricing may apply.
5. Cancellation and Refund Policy
Cancellations must be submitted in writing to NorthStar Event Marketing. Cancellation terms may vary depending on the nature of the services, vendor commitments, and timing of the cancellation.
- Deposits and retainers are generally non-refundable to the extent permitted by law, as they secure scheduling, planning, and resource allocation;
- If you cancel after work has commenced, you remain responsible for all fees for work performed, committed costs, and non-cancellable third-party expenses incurred up to the date of cancellation;
- If a venue, supplier, or third-party provider imposes cancellation fees, those fees are your responsibility if incurred on your behalf;
- Refunds, if any, will be determined in our reasonable discretion based on the services completed, costs incurred, and contractual commitments already made;
- Custom creative work, strategy work, planning, coordination, and partially completed deliverables are not refundable once performed or approved, except where required by applicable law.
If we must cancel or reschedule due to circumstances within our reasonable control, we will use commercially reasonable efforts to offer a rescheduled date or a credit, where appropriate. No refund is guaranteed for delays or interruptions caused by force majeure, third-party failures, venue issues, or client-side delays.
6. Liability Limitations
To the fullest extent permitted by applicable law, NorthStar Event Marketing shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption, or reputational harm, arising out of or related to the services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the total fees actually paid by you to NorthStar Event Marketing for the specific services giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim, or CAD $1,000, whichever is greater, unless a different limit is required by law or agreed in a signed written contract.
We are not responsible for:
- Acts or omissions of venues, suppliers, contractors, performers, staffing agencies, or other third parties;
- Event attendance levels, sales outcomes, marketing performance, or return on investment unless expressly guaranteed in writing;
- Weather, transportation issues, power outages, internet failures, equipment malfunctions, or technical disruptions outside our control;
- Injuries, property damage, or losses caused by attendees, vendors, or third parties, except to the extent caused by our gross negligence or wilful misconduct;
- Content supplied or approved by you, including claims, trademarks, images, or other materials you provide.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is prohibited.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, methodologies, templates, processes, tools, software configurations, know-how, and materials owned or licensed by NorthStar Event Marketing remain our property or the property of our licensors.
Upon full payment of all amounts due, and subject to any third-party rights, you will receive a non-exclusive, non-transferable license to use final deliverables created specifically for you for the purpose for which they were provided. This license does not include our underlying tools, templates, or proprietary methods.
You retain ownership of materials you provide to us. By providing materials, you grant NorthStar Event Marketing a worldwide, royalty-free, non-exclusive license to use, reproduce, adapt, display, distribute, and modify those materials solely as necessary to perform the services.
Unless you notify us in writing otherwise before the start of the engagement, you grant us the right to use your name, logo, event images, and non-confidential project descriptions for portfolio, case study, marketing, and promotional purposes, provided such use does not disclose confidential information or violate applicable law.
You must not remove proprietary notices, reverse engineer our materials, or use our intellectual property outside the scope permitted by these Terms or a written agreement.
8. Data Protection and Privacy
NorthStar Event Marketing is committed to handling personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any substantially similar provincial legislation, as applicable.
We may collect, use, disclose, and retain personal information for purposes including:
- Providing and managing services;
- Communicating with clients, attendees, vendors, and partners;
- Processing payments and invoices;
- Coordinating event registration, guest engagement, and staffing;
- Improving our services, operations, and customer experience;
- Complying with legal, regulatory, tax, and record-keeping obligations.
We may share personal information with trusted third-party service providers only as necessary to deliver services or as otherwise permitted by law. We require such providers to use reasonable safeguards appropriate to the sensitivity of the information.
You are responsible for obtaining any required consents from attendees, leads, or other individuals whose personal information you provide to us. If we process personal information on your behalf, you agree to provide accurate instructions and to comply with all applicable privacy and anti-spam laws, including CASL where applicable.
We use reasonable administrative, technical, and physical safeguards designed to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

9. Force Majeure
NorthStar Event Marketing will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, epidemic, pandemic, public health emergency, war, terrorism, civil unrest, labour disputes, government action, power failure, internet outage, venue closure, supply chain disruption, transportation interruption, or failure of third-party vendors or platforms.
If a force majeure event occurs, our obligations will be suspended for the duration of the event and for a reasonable recovery period thereafter. We will use commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable.
10. Changes to Terms
We may update or modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The updated Terms will be effective upon posting or upon the date stated in the revised version, whichever is later.
Your continued use of our services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of our services.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any related transaction shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the services, subject to any mandatory consumer protection laws that may apply and cannot be waived.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be interpreted and enforced as modified to the extent permitted by law.
